Dear Prospective Dealer,
Goldenvale - ROKETA is a full-line, full-service wholesale distributor, importer and manufacturer of quality Powersports products such as ATV’s, Scooters, Motorcycles and more. Our customers are full-time dealers located throughout the United States, Canada, and the world. Through Goldenvale, you have access to the best products available. Every purchase you make is backed by our continuing support services and hard-working promotions. All existing and prospective customers must meet certain qualifications in order to be on, or added to, Goldenvale' accounts listings.
For example, "garage type operations" located in a residence or residential area, are not eligible to become authorized Goldenvale dealers. All Goldenvale dealers share equal competitive advantages through the integrity of our distribution channels. In order to become a Goldenvale dealer, please submit the following information:
1. Dealer Application - must be signed and filled in completely. Please include a minimum of 3 credit references (5 are shown), plus a bank reference and general business information. If you are opening a new business and no business credit history is available, your account will be on a 100% prepay status i.e. credit cards or wire transfer. You will not become an authorized dealer for a minimum of 90 days although you will still be able to order. Established businesses will become authorized dealers at the moment they are approved. We do not offer flooring terms at this time. Credit terms are only offered to established business who are D&B listed. .
2. Requirements - You must meet all of the following:
• Your business is a retail or wholesale operation in a commercially-zoned business area.
• This business operates on a full-time basis (open a minimum of 5 days and 40 hours per week).
• You have a business phone number that is listed with directory assistance as a retail business.
• You have all DMV dealer required licenses for your state if necessary. Attach copies.
• You must have your own service department to handle all service and warranty issues.
• You must assemble all products before customer takes possession.
3. Verification - Please attach all of the following to your application:
A. Three current pictures representative of your store's inventory. A copy of the first and signature pages of your
store lease may be substituted in lieu of your inventory pictures if you are a new shop.
B. One picture of your storefront and surrounding location. Any location other than a conventional business,
strip center, or mall will require additional documentation (i.e. photos of area, certification of
zoning/conforming use permits, special explanations, etc.)
C. One picture of your business sign.
D. A copy of your current yellow pages and/or white pages business listing if available.
E. A copy of your state retail tax certificate, DMV licenses (if required).
F. A copy of store lease (first and signature pages).
Your application will be reviewed by our staff and you will be notified about acceptance as quickly as possible. (Please allow 1-2 weeks processing time under normal circumstances.) If you would like to place an order at the time you apply, please enclose it with your application. Once requirements have been satisfactorily met, your orders will be sent out. Please be aware of your minimum initial order. For authorized dealers it is $2,500 and for Master Authorized Dealers it is $10,000. For your store to remain on active account status, you must purchase a minimum of $24,000.00 net per year for authorized dealers and $48,000 for Master Authorized Dealers. If your account goes 3 months with no order then you will be placed on a hold status for review. We understand some businesses are seasonal and this will be taken into account when your account is reviewed. Once your account has dropped from active status you will need to reapply before any new orders can be shipped. The following warranty is for Goldenvale Brand products only. Other products have their own specific warranties.
WARRANTY: Goldenvale, ("distributor") warrants its scooters, ATV’s and Motorcycles ( "products") against all defects in materials
and workmanship for a period of 30 Days from the date of purchase subject only to the following conditions and exclusions:
1. Structural frame components including platform, fork, seat post, and frame welds are warranted for 30 Days, to the
original owner.
2. To present a claim, Customer shall deliver the defective part for exchange to a Goldenvale dealer or directly to a
Goldenvale distribution center at his or her own expense.
3. This limited warranty is for the replacement or repair, at the option of Goldenvale, of defective parts only and does not
cover any labor charges including, but not limited to, charges incurred for installation of replacement parts or additional fees
which may be imposed by the dealer or service agent. Labor is reimbursed only to an authorized repair center at specified
rates. You must talk to your dealer before having your product repaired as some labor costs may not be covered.
4. All warranty replacement parts are under warranty from the date of purchase of the original "product" and not from the
date of replacement.
5. The 30 Days limited warranty covers the drive train (including the transaxle, motor and brake) internal parts only.
6. This limited warranty is valid and enforceable only on "products" purchased in the United States and from a Goldenvale
dealer. Items purchased outside the US must be sent back for repair at the expense of the purchaser and NOT Goldenvale or
an authorized repair center in your country. Purchaser must also pay for return shipping regardless of location.
7. This limited warranty is applicable only to the customer as an original purchaser of the "product" from a Goldenvale
dealer and shall not apply to any subsequent purchaser, assignee or other recipient of the product from customer.
8. No dealer or other similar person has any authority to make any warranties or representations concerning Goldenvale
products, or to extend this warranty beyond the express terms contained within. Distributor assumes no responsibility for
any warranties beyond the express terms contained in the Limited warranty. Customer releases and holds manufacturer
harmless from any claims stemming from any unauthorized representations.
9. This warranty shall be void if the Customer modifies the "product" in any respect including but not limited to the use of
parts other than genuine Goldenvale parts.
10. This limited warranty applies only to products purchased from or manufactured by Goldenvale or its suppliers.
11. 30 Days warranty exceptions:
A.Transaxle: In cases where there is an increase in the operational noise level the warranty will not apply.
B. Motor: If damage occurs to commutator of motor as a result of not replacing motor brushes after heavy wear to brushes.
Motor brushes are wear items and are not covered.
C. Brakes: 30 Days warranty for electrical or mechanical function of the brake.
Brake pads are a wear item and will NOT be warranteed.
D. Maintenance: Annual or normal maintenance schedule must be followed See manual for details.
12. This limited warranty does not cover batteries, battery chargers or damage caused by battery leakage.
13. This limited warranty covers all electrical components but not the labor to replace them.
14. This limited warranty does not cover plastic shrouding or covers, seat upholstery, arm pads or similar items as these
components are considered wear items.
15. All transportation costs and shipping damage incurred while submitting parts for repair or replacement are the
responsibility of the original purchaser.
16. This limited warranty does not apply to any injury, loss, defect or malfunction of the "product" or failure to function
resulting from any failure to operate or maintain "product" in accordance with the directions contained in the owners manual provided by Goldenvale; or any injury, loss, damage, defect or malfunction, or failure to function resulting from any accident, acts of God, alterations in the "product" by anyone other than the distributor, or misuse, unreasonable use, tampering, abuse, acts, omissions, failure or negligence by anyone other than (OEM) manufacturer.
17. These warranties set forth herein are in lieu of any other warranties, expressed or implied, including the warranties of merchantability or fitness. Any such implied warranty imposed by state consumer law is limited in duration to 30 Days from date of purchase.
18. Customer represents and agrees that any claims which it may assert against Distributor shall be limited to those which may be asserted under the foregoing limited warranty.
19. This warranty is offered exclusively by Goldenvale.
By placing a purchase with our company or dealer, customer agrees that He/She has read and agrees with our warranty and terms.
20. Should there not be a dealer or authorized repair center near you, this warranty will revert to a parts replacement warranty only. Simply put, you send us the covered part and we will send you the replacement part. You are responsible for shipping to us and we will pay shipping to you. You are then responsible for replacing your own part. Call for details on how to submit your claim. You must provide proof of purchase from an authorized dealer when you submit any claim.

BUYER’S RESPONSIBILITY:
Buyer acknowledges that he or she is qualified to operate this vehicle, and is in proper physical condition to participate in such activity. Buyer also agrees to assume all risks when operating or allowing others to operate his or her vehicle. If buyer does not feel capable of operating the vehicle he or she must find professional training for such activity.
Manufacturer's Warranty Specifics:
LIMITED WARRANTY - PARTS ONLY
THIS LIMITED WARRANTY COVERS THE FOLLOWING PARTS: Engine long block assembly, including all internal lubricated parts, i.e. Rings, pistons, pins, crankshaft and, main bearings, the connecting rods, and rod bearings, camshaft bearings, timing chain gears, rocker arms, valve springs, valve guides, valve seats, valve push rods, valve lifters, and oil pump. Additionally, the engine head (s), engine block and cylinder barrels will be covered if they are solely as a result of the mechanical failure of one or more of the internal lubricated components specified
above.
Accessory items, including but not limited to electrical components of all types (distributor, alternator and all sensors and electrical control devices), fuel systems, gaskets, seals, filters and mounts linkage are not covered by this agreement after the first 30 days.
TRANSFER CASE: All internal lubricated parts contained within the transfer case. The transfer case itself will be covered if damage solely as a result of the mechanical failure of one or more of the internal lubricated components contained within the transfer case. Accessory items, including but not limited to, U-joints, electrical components, linkage, seals, gaskets, mounts or fluids are not covered by this Agreement.
DIFFERENTIAL: All internal lubricated parts contained within the drive axle housing case. The drive axle housing itself if damaged solely as a result of the mechanical failure of one or more or the internal lubricated components contained by the drive axle housing. Accessory items, including but not limited to, backing plates, all brake system components, cables, controls, linkage, vents, pumps, U-joints, electrical controls, mounts, seals, gaskets, and fluids are not covered by this Agreement.
TRANSMISSION (Automatic or Standard): All internal lubricated parts contained within the transmission case. The transmission case itself if damaged solely as a result of mechanical failure of one or more of the internal lubricated components contained within the transmission case. The Complete hydraulic system must be flushed including integral transfer case, oil cooler, lines, and new filter(s) installed Accessory items, including but not limited to, modulators, governors, electrical controls, linkage, mounts, seals, gaskets, and fluids are not covered by this
Agreement.
COVERAGE AND LIMITATIONS: You must have a professional mechanic or an authorized Goldenvale Dealer assemble your new product and do the prep work to assure your is in good working condition. You will need to provide proof of this when filing a warranty claim, so keep your receipts. Subject to the limitations stated in this agreement, Goldenvale agrees (at its election) to replace a covered component if the covered component fails as a result of one or more of the internal lubricated parts within the component stated warranty period from the date of
purchase, while the component is being used under the conditions and in the manner specified by its original manufacturer. All parts that are subject to wear and tear are not covered under parts replacement policy.
REPAIRED COMPONENTS: If the components are repaired under the terms of this Agreement they will be repaired
or with components parts of like kind and quality.

LABOR TO REPAIR OR REPLACE PARTS: Goldenvale does not pay or reimburse any labor cost to anyone other than authorized Goldenvale dealers or repair centers.
THIS AGREEMENT AND LIMITED WARRANTY IS VOID IF ANY OF THE FOLLOWING IS TRUE:
• THE CUSTOMER DOES NOT USE A PROFESSIONAL MECHANIC (SMALL ENGINE REPAIR SHOP,
MOTORCYCLE SHOP, OR AUTO REPAIR SHOP) OR AN AUTHORIZED Goldenvale DEALER TO ASSEMBLE
AND PREP THE PRODUCT PRIOR TO OPERATION.
• THE DAMAGE TO THE COMPONENT IS CAUSED BY AN ACCIDENT
• THE CUSTOMER FAILS TO FOLLOW THE MINIMUM MAINTENANCE AND BREAK-IN REQUIREMENTS
SUGGESTED BY THE MANUFACTURER AND FAILS TO PROVIDE PROPER SERVICE DOCUMENTS.
• THE DAMAGE TO THE PRODUCT IS CAUSED DURING SHIPPING.
• PRODUCT IS IN A MANNER WHICH IT WAS NOT DESIGNED FOR.
• THE PRODUCT IS MODIFIED IN ANYWAY.
• THE PRODUCT IS USED IN RENTAL BUSINESS.
LIMITED WARRANTY TRANSFERABILITY:
THIS WARRANTY CAN ONLY BE TRANSFERRED BY AN AUTHORIZED Goldenvale DEALER, DISTRIBUTOR OR REPRESENTATIVE. NO IMPLIED WARRANTIES OR AGREEMENTS: THERE ARE NO AGREEMENTS OR WARRANTIES, EXPRESSED OR IMPLIED INCLUDING WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, OTHER THAN THOSE STATED IN THIS AGREEMENT. Goldenvale SHALL NOT BE RESPONSIBLE FOR THE PAYMENT OF DAMAGES, OTHER THAN THE SUMS SPECIFIED IN THIS AGREEMENT AND LIMITED WARRANTY, FOR INCIDENTAL OR CONSEQUENTIAL LOSS OR DAMAGE ARISING FROM INJURY, LOSS OF USE, LOSS OF TIME, RENTAL VEHICLES, PROFITS, OR INCOME TO THE CUSTOMER AS A RESULT OF A FAILURE OF ANY COMPONENT OR PART. TOWING CHARGES: All towing charges incurred are the responsibility of the customer.
NO OTHER AGREEMENT: There are no other agreements between the parties with regards to the components
purchased except as stated in this agreement & limited warranty.
REPLACEMENT PART: Goldenvale reserves the right to inspect the defective part before replacing it. In some cases Goldenvale will require customer to send in the defective part. The inspection process might take from 2-4 business days after its arrival to the designated inspection office. Goldenvale will decide if the part in question is defective or otherwise. Goldenvale does not reimburse shipping fee however we will pay return shipping to you or to our dealer.
For Returns, Exchange and Refund policy please contact the Dealer where you purchased your product. Goldenvale does not accept Returns Exchange or Refund items.

Waiver Of Liability:
I, the agree to all terms as follows: I acknowledge and understand that riding motorized vehicles are hazardous and dangerous activities that require strenuous exercise and various degrees of skill and experience for the different surfaces and venues. I understand that these activities can result in serious injury to the person and damage to property and voluntarily assume and any and all risks of loss, damage or injury while using
these motorized vehicles. I am aware of the risks, hazards and dangers of personal injury, death and disability inherent with any and all activities possible with use of this motorized vehicle, as well as those inherent risks, hazards and dangers of personal injury, death and disability in participating in any motorized vehicle event. I am aware that the usual risks, hazards and dangers of personal injury, death and disability increase when using ramps, curbs, steps or any other structure or device. I also understand that these risks, hazards and dangers are further increased when other persons, whether of the same level of experience or skill, are using the same motorized vehicles. I hereby agree to release and forever discharge Goldenvale and their agents, servants, employees, officers, directors, trustees and all other persons or entities acting on their behalf, from any and all claims, actions, damages, liability, costs or expenses and attorney fees which are related to, arise out of, or are in any way connected to my participation or use of the motorized vehicles, use of equipment or property supplied by Goldenvale or my presence upon the premises, whether or not such claims, actions, damages, liability, costs or expenses are caused by the negligence of the seller or the manufacturer or distributor. By this Agreement, it is my intention to surrender and waive any rights to sue or exercise any legal right to seek damages from Goldenvale and their agents, servants, employees, officers, directors, trustees and all other persons or entities acting on their behalf. This Agreement shall be effective and binding upon my heirs, agents, personal representatives and assigns. I hereby certify that I am over 18 years of age. I have carefully read the foregoing and acknowledge that I understand and agree to all of the above terms and conditions. I have had the opportunity to ask any and all questions regarding this agreement and the effect of the same. I am aware that by purchasing this item I assume all risks and waive and release certain substantial rights that I may have or posses. I there for release all liability and waive any and all rights I may have in regards to my or my child's activities with the Goldenvale product. I further agree that my purchases from Goldenvale will be sold in a manner that is legal in the state in which I will conduct sales. Should it be determined that any product I purchase, or have purchased, from Goldenvale is found to not be legal in the state in which I conduct business I agree to the following.
• I will not conduct sales of any product in my state which is not legal under my states DMV laws.
• All sales of such product will be shipped out of state, to out of state residents or dealers, and to a state in which the product
is legal for sale.
• I agree that it is 100% my own responsibility to determine the legality of such sales BEFORE the transaction is complete.

I acknowledge that any balance on my account not paid within 30 days, a FINANCE CHARGE will be added to my account. All payments I make will be first used to pay any unpaid FINANCE CHARGE and then to pay the earliest charges on the account. Any FINANCE CHARGE added will be determined by applying a 1.5% periodic rate (18.0% ANNUAL PERCENTAGE RATE) to the average daily balance. I understand and acknowledge that is my responsibility to give written notification to Goldenvale prior to _ any change in ownership or _ an intended date to cease operation.
I also understand that any account established based on the information furnished here is for my exclusive use and is not transferable. In the event this account becomes delinquent and is turned over to any collection agency or attorney for collection, I agree to pay collection fees and/or attorney fees not exceeding 30% of the past due balance plus court costs, serving costs and/or any other miscellaneous expenses incurred as a result of my failure to pay.
I authorize Goldenvale to make whatever credit inquiries that it deems necessary in Connection with this application or in the course of review or collection of any credit extended in reliance to this application. I authorize and instruct any person or credit reporting agency to compile and furnish to Goldenvale any information that it may have or obtain in response to such credit inquiries and agree that such information, along with this application, shall remain the property of Goldenvale whether or not credit is extended.
